Corporate Counsel

CWT's Strategy & Corporate Functions Legal team is looking for an action oriented lawyer with a strategic mindset to join the team.
This person will support business unit goals by overseeing, investigating, recommending and resolving various legal issues. They will take legal responsibility for and accountability for projects overseen and directly impacts or influences the business strategy of a portion of the Company’s business

  • General finance experience:

    • supporting the S&CF lawyer who works with the CWT Global Finance team on various matters related to merchant agreements, payment mechanisms and banking arrangements, including guarantees and letters of credit, intercompany transactions including capital increases, cash management agreements and intercompany loan agreements, and other financial transactions
  • M&A transactional experience:
    • Support corporate development activity within CWT, working closely with the corporate development team and other members of the legal and compliance team to: 

      • Project manage corporate development projects, including drafting document checklists and timelines and attending all working group calls
      • Lead/supervise or co-ordinate due diligence (as appropriate) and where needed document findings and prepare recommendations for presentation to the CWT global M&A committee
      • draft, review and negotiate letters of intent, confidentiality agreements and transactional documents
      • supervise regulatory approvals in connection with M&A projects
      • coordinate outside counsel engagement
      • take primary responsibility for drafting and negotiating all corporate development related non-disclosure agreements
  • Commercial experience:
    • Supporting the S&CF lawyer primary responsible for and/or taking primary management responsibility for all legal issues relating to CWT’s Global Partner Network including: 

      • drafting, negotiating and reviewing all Global Partner agreements
      • reviewing franchising arrangements
      • providing advice to the Global Partner Network Team as and when needed
    • drafting, negotiating and reviewing various commercial agreements (including consulting agreements, master services agreements, travel supplier agreements)
    • ad hoc advice on legal matters and projects arising from the CWT Strategy & Commerce business functions
  • Corporate:
    • restructuring – supporting and/or leading on corporate restructuring projects globally
    • drafting and reviewing board/shareholder resolutions and assisting with managing the group’s corporate structure where required
  • General Responsibilities:
    • undertaking legal research and analysis of new laws and regulations which may impact the business pillars supported by the S&CF legal team
    • Provide contract review and interpretation support and liaise with the global compliance/data privacy team and information security team or other business stakeholders as necessary
    • supporting the creation and roll out of new policies, processes and documents for the CWT S&CF legal team to drive efficiency and standardization
    • Lead and manage internal and external legal relationships (depending on the project)
    • Provide training and education to the business and the global legal team on legal matters
    • Drive resolution of issues by identifying legal solutions to meet business needs and identify matters that require escalation or outside counsel involvement
    • Advise decision makers within the business units supported on risks
    • Participate in global legal team conference calls and meetings.
    • Participate in and/or lead additional projects as required

Person Specification and skills required:

  • 3+ years legal experience; international firm experience preferred, in-house experience beneficial
  • Travel industry legal experience a plus
  • Experience working / living in different jurisdictions where CWT operates a plus
  • University degree
  • Law degree
  • Authorized to practice law in the UK and in good standing
  • Fluent spoken and written English - Other languages useful but not essential
  • Ability to present and communicate effectively verbally and in written language in English to a wide array of audiences
  • Adept with Word, Outlook, Excel, PowerPoint
  • Ability to work across boundaries in a multicultural environment
  • Positive attitude
